
In serving our clients, V2V operates in accordance with the following conditions and arrangements unless there is written agreement to any amendments. Together with the proposal to which they are attached and acceptance of that proposal, they form the entire contract between our Company Partnership and the Client.
1. General conditions
1.1 To protect the interests of our clients, our staff are employed under a service contract which reinforces their professional obligation not to disclose information confidential to the client.
1.2 The assignment is confined to work specified in the proposal.
1.3 All our services are delivered in good faith on the basis of information before us at the time. They are never representations, undertakings, warranties or contractual conditions. In no circumstances shall we be liable for any consequential damage arising from our services.
1.4 The client shall make available to our staff all information which they may reasonably require for the effective execution of their work along with appropriate access to hardware equipment.
1.5 The Contract between the Company Partnership and the Client is governed by English law. The parties agree that the terms and conditions of this contract shall be construed in accordance with English law and undertake to submit to the exclusive jurisdiction of the English Courts.
2. Fee and payment arrangements
2.1 The fees for this assignment are detailed in the proposal attached. They remain valid for one month from the date of submission. Should circumstances arise which could not reasonably have been foreseen at the time of the proposal, the work content and fee may be amended by agreement with the Client.
2.2 Either party can terminate the work by one month's notice in writing. Such notice shall not be given without full prior consultation between the parties concerning the reasons.
2.3 Final payment is due on completion and we reserve the right to charge interest at 2% per month on accounts outstanding 30 days from date of invoice. Fees and expenses are subject to the addition of Value Added Tax when applicable.
